1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the social entertainment gaming platform operated at SouthernReelLounge.com (the "Platform"), provided by Southern Reel Lounge ("Southern Reel Lounge", "we", "us" or "our").

By accessing or using the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Platform.

2. About Southern Reel Lounge

Southern Reel Lounge is a New Zealand-based social casino platform offering free digital slot-style entertainment and community-driven features. The site provides virtual currency gameplay, daily rewards, themed tournaments and leaderboard competitions designed for recreational purposes only. All gameplay remains strictly virtual, and no real-money betting or withdrawals are supported.

3. Eligibility

• You are responsible for ensuring that your use of the Platform is lawful in your jurisdiction.

4. Social Casino Only – No Real-Money Gambling

• The Platform is a free social casino-style entertainment service.
• No real-money wagers, deposits or withdrawals are offered or accepted on the Platform.
• Virtual currency and other digital items have no real-world monetary value and cannot be redeemed for cash or any other form of monetary value.
• Outcomes of games and events do not reflect or represent real-world casino or gambling outcomes.

5. Accounts and Security

5.1 Account creation

To access certain features of the Platform, you may need to create an account and provide accurate, current and complete information. You agree to keep your account information up to date.

5.2 Account security

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must notify us promptly of any unauthorised access or suspected security breach.

5.3 One account per person

We may limit users to one account each and may suspend or terminate duplicate or fraudulent accounts at our discretion.

6. Virtual Currency and Digital Items

6.1 Nature of virtual currency

• Virtual currency, tokens, points, collectibles and similar virtual items (collectively, "Virtual Items") are digital features used solely within the Platform.
• Virtual Items are not legal tender, do not represent a deposit or stored value, and have no monetary or property value.
• You do not own Virtual Items; instead, you receive a limited, revocable, non-transferable licence to use them within the Platform in accordance with these Terms.

6.2 Acquisition and use

• Virtual Items may be granted to you through gameplay, daily rewards, tournaments, seasonal events or other in-Platform activities.
• We may from time to time allow optional acquisition of additional Virtual Items through other lawful means, subject to any additional terms presented at the time.
• We may set or modify rules for how Virtual Items are earned, spent or lost as part of events, leaderboards or gameplay.

6.3 No refunds; no cash-out

• Virtual Items cannot be exchanged for cash, credit or other items of monetary value.
• We do not provide refunds or compensation for unused or lost Virtual Items, including where your account or access is suspended or terminated in accordance with these Terms.

7. Permitted Use and Rules of Conduct

7.1 Permitted use

You may use the Platform solely for your personal, non-commercial entertainment and in compliance with these Terms and applicable laws.

7.2 Prohibited conduct

You must not, and must not attempt to:

• use the Platform for any unlawful, harmful or fraudulent purpose;
• harass, threaten, abuse, defame or otherwise harm other users or our staff;
• cheat, exploit bugs or use unauthorised software, bots, scripts, mods or automation tools;
• circumvent or interfere with security or access controls;
• reverse engineer, decompile or attempt to derive source code from the Platform, except where permitted by law;
• sell, trade, transfer or attempt to transfer accounts or Virtual Items outside of mechanisms expressly permitted by us;
• upload or share content that is illegal, offensive, misleading, infringing, or otherwise inappropriate;
• impersonate any person or entity or misrepresent your affiliation;
• engage in any activity that could disrupt or damage the Platform or its infrastructure.

8. Community Features and User-Generated Content

The Platform may include chat, leaderboards, tournaments, social feeds and other interactive features where users can create, post or share content ("User Content").

• You remain responsible for your User Content and must ensure it complies with these Terms and applicable laws.
• By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute and display such content in connection with the Platform and our business.
• We may, but are not obligated to, monitor, review, remove or disable access to User Content at our discretion.

9. Intellectual Property

• All rights in and to the Platform, including games, software, graphics, logos, trademarks, text, sounds, music, animations and other content, are owned by or licensed to Southern Reel Lounge.
• Except for the limited rights expressly granted to you, no licence or rights are granted to you by implication or otherwise.
• You must not use our trademarks, logos or branding without our prior written consent.

10. Availability and Changes to the Platform

• We do not guarantee that the Platform will be available at all times or without interruption.
• We may modify, suspend, withdraw, replace or discontinue any aspect of the Platform (including games, features, Virtual Items, events or rewards) at any time, with or without notice.
• We are not liable for any unavailability, modification or discontinuation of the Platform, except where required by law.

11. Suspension and Termination

• We may suspend or terminate your access to the Platform, or any part of it, at our reasonable discretion, including where we believe you have violated these Terms, engaged in fraudulent or harmful behaviour, or if required by law.
• Upon suspension or termination, you may lose access to your account, User Content and any Virtual Items associated with your account, without compensation.
• You may stop using the Platform at any time. You may also request account closure via support, subject to our verification procedures.

12. Disclaimers

• The Platform is provided on an "as is" and "as available" basis, to the maximum extent permitted by law.
• We do not warrant that the Platform will be error-free, uninterrupted, secure or free from viruses or other harmful components.
• We do not make any promises about specific results of gameplay, availability of rewards or Virtual Items, or continuity of any particular game or feature.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Southern Reel Lounge and its officers, employees, partners and affiliates will not be liable for:

• any indirect, incidental, consequential, special or punitive damages;
• any loss of profits, revenue, data, goodwill or business opportunities;
• any damages arising from your use of, or inability to use, the Platform, including loss of Virtual Items or User Content.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, certain consumer protection rights).

14. Indemnity

You agree to indemnify and hold harmless Southern Reel Lounge and its officers, employees, partners and affiliates from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with:

• your use of the Platform;
• your breach of these Terms;
• your violation of any law or third-party rights.

15. Governing Law and Dispute Resolution

• These Terms and your use of the Platform are governed by the laws of New Zealand, without regard to conflict-of-law principles.
• You and we submit to the non-exclusive jurisdiction of the courts of New Zealand in relation to disputes arising from or relating to these Terms or the Platform.

16. Responsible Entertainment and Complaints

Southern Reel Lounge promotes responsible digital entertainment. If you feel that your use of the Platform is negatively affecting your well-being or daily life, we encourage you to take a break, adjust your time spent in gameplay, or seek support where appropriate.

17. Changes to these Terms

• Your continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.

18. General

• If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
